Terms of Service

1. Agreement to these Terms
These Terms of Service (“Terms”) are a binding contract between you — and, if you sign up for an organisation, that organisation — and KONOFT (“KONOFT”, “we”, “us”), governing your use of ITEMZAP (the “Service”).
By ticking “I agree”, creating an account, or using the Service, you accept these Terms and our Privacy Policy. If you accept on behalf of an organisation, you confirm you are authorised to bind it. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 and legally able to enter a contract. You are responsible for complying with the laws that apply to you where you are.
3. Accounts and security
You must give accurate information, keep your credentials confidential, and you are responsible for activity under your account. Tell us immediately about any unauthorised use at legal@itemzap.com. Administrators are responsible for the users, roles and permissions they configure, including the linked-company and asset-transfer features.
4. Subscriptions, fees and payment
When paid plans launch, their features and prices will be shown before you order, along with the billing period, whether the subscription renews automatically, the total payable including any applicable tax, and how to cancel. Payments will be handled by a regulated payment provider, named on the checkout page and in our Privacy Policy before any of your data reaches it. We will not charge you without your express agreement at the point of order. Late or failed payment may lead to suspension. Cancellation and refunds are governed by our Refund & Cancellation Policy, which sets out the rights that apply where you live.
The Service is covered by the legal guarantee of conformity for digital services — meaning it has to work as described — and we provide software updates, including security updates, for as long as we offer the Service to you. Both apply now, on the free plan, and are not conditional on payment.
5. Your data and content
You keep ownership of everything you upload (“Customer Data”). You grant us a limited, worldwide licence to host, process and display it solely to provide and support the Service, as described in the Privacy Policy. You confirm you have the rights and any consents needed for what you upload, including personal data about your staff or third parties.
6. Acceptable use
You must not use the Service to:
- break the law, or infringe anyone else’s rights;
- upload malware, or unlawful, infringing or harmful content;
- attempt to breach security, scrape, reverse-engineer, or deliberately overload the Service;
- resell or provide the Service to third parties except as we have permitted in writing; or
- build a competing product.
We may suspend or terminate access for breach of this section.
7. Intellectual property
The Service, its software, the ITEMZAP brand and all related intellectual property remain owned by KONOFT. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service under these Terms; you get no other rights. Any feedback you give us, we may use freely and without obligation.
8. Automated and AI-generated outputs — please read
The Service reads your uploaded bills automatically and generates classifications, valuations, warranty periods and other suggestions using automated and AI techniques. These outputs are informational only. They are not guaranteed to be accurate or complete, and they are not professional, financial, legal, insurance, tax or valuation advice. Occasional inaccuracy is a known characteristic of these systems rather than a defect. You are responsible for reviewing and confirming any output before relying on it — which is why the Service asks you to confirm scanned details before saving, and flags low-confidence readings for your review.
9. Availability and warranties
The Service is provided “as is” and “as available”. We do not guarantee any particular uptime, or that the Service will be uninterrupted or error-free. To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. If you are an individual consumer, nothing here removes rights the Consumer Protection Act, 2019 does not allow to be excluded.
10. Limitation of liability
To the maximum extent the law allows:
- (a) we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill, business or data, however caused;
- (b) our total aggregate liability relating to the Service or these Terms will not exceed the fees you paid us in the 12 months before the event giving rise to the claim, or ₹5,000 if you are on a free plan;
- (c) these limits do not apply to liability that cannot be limited by law — including fraud, wilful misconduct, gross negligence, death or personal injury caused by our negligence, or consumer rights protected by the Consumer Protection Act, 2019.
11. Indemnity
If you use the Service for an organisation, you will indemnify KONOFT and its people against claims, damages and costs arising from your Customer Data, your breach of these Terms, your violation of law or third-party rights, or your use of the Service. We will tell you about any such claim and you will cooperate in defending it.
12. Suspension and termination
We may suspend or end your access for breach, non-payment, unlawful use, or risk to the Service or others. You may stop using the Service at any time.
Export your data before you close your account. Once an account is closed you can no longer sign in to retrieve anything. If you need a copy afterwards, write to privacy@itemzap.com within 30 days and we will provide one. Clauses that should by their nature survive — intellectual property, liability, indemnity, confidentiality and dispute resolution — survive termination.
13. Confidentiality
Each of us will protect the other’s non-public information disclosed under these Terms, and use it only to perform under them.
14. Changes
We may change the Service or these Terms. For material changes we will give notice by email or in the application and update the version and date above. Continued use after a change takes effect means you accept it; if you do not agree, stop using the Service.
15. Governing law and disputes — business users
This section applies to business users only. Consumers: see section 16.
- Governing law: the laws of India, without regard to conflict-of-laws rules.
- Talk to us first (required): before any formal step, raise the matter with our Grievance Officer at grievance@itemzap.com and allow 30 days for good-faith resolution. (A literal 30, deliberately: this is a commercial cooling-off period between businesses and has nothing to do with the statutory consumer-grievance clock in entity.ts, which is 7 days. Sharing one constant between them silently rewrote this clause.)
- Business users — arbitration: any unresolved dispute will be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator, seat and venue Coimbatore, Tamil Nadu, conducted in English. The award is binding.
- Jurisdiction: subject to the above, the courts at Coimbatore, Tamil Nadu, India have exclusive jurisdiction.
- Consumers: this section does not apply to you at all. See section 16.
16. Consumers — your rights are not displaced
If you are a consumer, nothing in these Terms deprives you of the protection of the mandatory law of the country where you live, and you keep the right to bring proceedings in your local courts. The arbitration agreement and the exclusive-jurisdiction clause in section 15 do not apply to you. Indian law applies to these Terms, but always subject to the mandatory protections of the country where you live, and you may bring proceedings in your local courts.
Consumers in the EU, EEA and the UK also have a 14-day right to withdrawfrom a subscription. It cannot be waived, and you do not lose it by starting to use the Service. There is a model withdrawal form, though you are free to withdraw in your own words instead. Full detail, including what happens to money already paid, is in the Refund & Cancellation Policy.
17. General
These Terms, the Privacy Policy and any order form are the entire agreement between us. If a clause is unenforceable the rest stays in force. Delay in enforcing a right is not a waiver of it. You may not assign these Terms without our consent; we may assign to an affiliate or successor. Neither of us is liable for failures caused by events beyond reasonable control, including internet, cloud, power or third-party provider failures. Notices to us go to legal@itemzap.com.
